These Terms of Service ("Terms") are a legal agreement between you and ReechOut Inc., doing business as Gradnaut, a Delaware corporation ("Gradnaut", "we", "us", "our"). They govern your use of gradnaut.com, the Gradnaut web application, our free assessment, our guides, and any related services and communications (together, the "Services").
By clicking to accept, creating an account, making a purchase, or otherwise using the Services, you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Services.
Please note: section 13 contains a binding arbitration agreement and class action waiver that affect your legal rights. You can opt out within 30 days of first accepting these Terms.
1. Eligibility and minors
You must be at least 13 years old (or older if your country sets a higher age for agreeing to online services) to use the Services. If you are below that age, a parent or guardian must consent before your account is activated, as described in our Privacy Policy.
If you are under 18, you may use the Services only with the permission of a parent or guardian, and a parent or guardian must accept these Terms before any purchase is made for you. A parent or guardian who confirms a minor's account, accepts these Terms for a minor or pays for a minor agrees to these Terms on their own behalf and on the minor's behalf, and is responsible for the minor's use of the Services.
You agree that the information you give us about yourself is accurate. We may limit or refuse access in places where we cannot lawfully operate.
2. Your account
You sign in with a one-time code sent to your email or through Google. You are responsible for keeping your email account secure, for all activity under your account, and for telling us promptly at support@gradnaut.com if you suspect unauthorized use. Accounts are personal and may not be shared, except that a parent may help a minor use the minor's account. Our support staff may view your workspace to assist you; such access is logged and visible to you.
3. What Gradnaut is and is not
Gradnaut helps students understand where they stand, find their own narrative, and organize and improve their own university applications. Parts of the Services are free, and additional features are available for a fee as described in the Services at the time of purchase.
No guarantee of results. Admission, scholarships, financial aid and visas are decided by universities and governments, not by us. Any assessment, tier, chance range, band, score or feedback we provide is an estimate based on the information you give us and public data, offered for your planning only. It is not a prediction or promise, and universities do not receive or rely on it.
Independence. We are not affiliated with, endorsed by or acting for any university, application platform or test provider. University names are used only to describe where you may apply.
No professional advice. The Services do not provide legal, immigration, financial, tax, medical or mental-health advice. Any support resources shown are information only.
Software, including AI. The Services are delivered by software, including AI models, and are not a person, counselor or therapist. AI output may be inaccurate or incomplete. You are responsible for checking all output, including deadlines and school requirements, against the university's own information.
Not your agent. Gradnaut does not contact recommenders, schools or universities for you, does not complete or submit applications, and does not store your application portal credentials.
4. Academic integrity
The Services are designed to help you improve your own original work, not to produce it. The Services are designed and tested not to write, rewrite, outline or translate essays, personal statements or statements of purpose, and not to draft or edit recommendation letters. You agree that:
- everything you submit to a university will be your own work and true;
- you will not use the Services to write a recommendation letter for yourself or on a recommender's behalf;
- you will check and follow each university's rules on the use of AI and outside help and make any disclosure a university requires; and
- you will not attempt to circumvent the limits built into the Services or use them to submit fraudulent, plagiarized or misleading applications.
The product keeps an authorship record of how your essays were written in the product, which you can export as evidence of your own work. If we reasonably believe you have used the Services to misrepresent your work, we may suspend or terminate your account without refund. You are solely responsible for the content you submit to any university and for any decision a university makes about it.
5. Acceptable use
You agree not to: violate any law or infringe anyone's rights; upload content you do not have the right to share, including other people's personal information beyond what the product asks for; upload malicious code or interfere with the Services; attempt to extract our prompts, rubrics or system instructions; scrape, copy or bulk-download any part of the Services or our data; reverse-engineer the Services except where the law expressly permits; resell, sublicense or use the Services to build a competing product; share, sell or misuse promotional or redemption codes; abuse free features, usage limits or rate limits, including by creating multiple accounts; or harass our team or impersonate Gradnaut, a university or anyone else. We may investigate violations and take any action we consider appropriate, including suspending or terminating accounts.
6. Your content
You retain ownership of the essays, answers, documents and other material you submit to the Services ("Your Content"). You grant Gradnaut a worldwide, non-exclusive, royalty-free license to host, store, process, analyze, display and transmit Your Content, and to generate outputs from it, solely to provide and improve the Services. This license ends when Your Content is deleted, except for backup copies deleted in the ordinary course and de-identified material already used to improve the Services. We do not sell Your Content, share it with universities, use it in marketing without your separate permission, or allow our AI providers to train models on it. You confirm that you have the right to submit Your Content and that it does not infringe anyone's rights. If you give us feedback or suggestions, we may use them without obligation to you.
7. Our content and outputs
The Services, including software, design, interview scripts, rubrics, data, guides, templates, text, graphics, the Gradnaut name and logos, are owned by Gradnaut or its licensors and protected by intellectual property laws. We grant you a personal, limited, non-exclusive, non-transferable, revocable license to use the Services for your own university applications in accordance with these Terms. Free guides may be used for personal study and shared unchanged, but not sold, republished or stripped of attribution.
As between you and Gradnaut, you own the outputs the Services generate from Your Content and may use them for your own applications; Gradnaut retains its rights in the underlying software, templates and rubrics. Outputs are generated by software, may be inaccurate, may be similar to outputs produced for other users, and are not reviewed by a human unless we say so. University requirements and other data we compile may be out of date; always confirm with the university.
8. Purchases, payments and refunds
Some features of the Services require payment. Prices, what is included, and the period of access are shown at the time of purchase. Paid access is a one-time purchase for the period shown, is not a subscription, does not renew automatically, and is for one applicant and cannot be shared or transferred. Some features have usage limits, which are shown in the Services and form part of what you buy. Promotional or redemption codes are single-use, tied to the email they are redeemed with, and subject to any stated expiry.
Payment is processed by our third-party payment provider under its own terms; we do not store your full card details. You confirm that you are authorized to use the payment method. Prices shown at checkout include any taxes we are required to collect; bank and currency charges are your responsibility. Prices may change for future purchases. Purchases for a user under 18 must be made or confirmed by a parent or guardian.
Except where the law where you live gives you a right that cannot be excluded, purchases are non-refundable once you have used the paid features, and any refund or cancellation terms that apply are those shown at the time of purchase. If you live in the European Economic Area or the United Kingdom, you have a 14-day right to cancel unless you asked us to provide access immediately and acknowledged losing that right once you begin using the paid features. If a paid feature becomes unavailable for an extended period or is withdrawn during your access period, we will offer a proportionate refund or credit; this does not affect rights the law gives you. Please contact support@gradnaut.com before disputing a charge with your bank.
9. Communications
The Services send emails as part of the service, such as sign-in codes, receipts, plans, deadline alerts and check-ins. You can turn off non-essential emails in settings. Reminders are a convenience, not a guarantee: you are responsible for knowing and meeting your own deadlines, and we are not liable for a missed deadline, a late recommender or an email that was not delivered. You agree to receive notices, receipts and disclosures from us electronically.
10. Third-party services and changes
The Services rely on third parties, including sign-in, payment, hosting and AI providers, and link to university and application-portal websites that we do not control. Your use of third-party services is subject to their terms. We may add, change, suspend or remove features, limits, prices or content at any time, and may suspend the Services for maintenance, security or reasons beyond our control. If a change materially reduces a paid feature during your access period, section 8 applies.
11. Termination
You may delete your account at any time from settings; deletion is completed within 30 days and no refund is due except as stated in section 8. We may suspend or terminate your access, with notice where practicable, if you breach these Terms, if required by law, if your account is used for fraud or abuse, or if we discontinue the Services (with reasonable notice and a proportionate refund of any unused paid access). We may close accounts inactive for an extended period after emailing you in advance. On termination your license to use the Services ends, and sections that by their nature should survive (including 4, 6, 7, 12, 13 and 14) continue to apply.
12. Disclaimers, limitation of liability and indemnity
Disclaimer. The Services are provided "as is" and "as available". To the fullest extent permitted by law, Gradnaut and its officers, directors, employees, contractors and providers disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy, and uninterrupted or error-free operation. Without limiting this, we make no promise that you will be admitted to any university or receive any scholarship, aid or visa; that any assessment, feedback or output is accurate or will be shared by any admissions reader; that any school data or deadline is current; that the Services will be available at any particular time, including before a deadline; or that any email will be delivered. Your decisions about where to apply, what to write, whom to ask and when to submit are yours alone.
Limitation of liability. To the fullest extent permitted by law, Gradnaut and its officers, directors, employees, contractors and providers will not be liable for any indirect, incidental, special, consequential, exemplary or punitive damages, or for any loss of opportunity, admission, scholarship, aid, income, data, goodwill or reputation, arising out of or relating to the Services or these Terms, under any theory of liability, even if advised of the possibility. Our total liability for all claims arising out of or relating to the Services or these Terms will not exceed the greater of the amount you paid us in the 12 months before the claim arose and US $100. These limitations do not apply to liability that cannot be limited by law, including for fraud, gross negligence, willful misconduct, or death or personal injury caused by negligence, and do not limit non-waivable consumer rights where you live.
Indemnity. To the extent permitted by the law where you live, you agree to defend, indemnify and hold harmless Gradnaut and its officers, directors, employees and contractors from any third-party claim and resulting loss, liability, cost or expense (including reasonable legal fees) arising from your breach of these Terms, your violation of any law or third-party right, or false information you provided. Where a parent or guardian has accepted these Terms for a minor, this is the parent's or guardian's own obligation.
Time limit. To the extent the law allows, any claim arising out of or relating to the Services must be brought within one year after it arises, paused during the informal resolution period in section 13.
13. Governing law and dispute resolution
Informal resolution. Before starting any formal dispute, you agree to email legal@gradnaut.com describing the issue and to give us 30 days to try to resolve it with you. We will do the same before starting anything against you.
Governing law. These Terms and any dispute between you and Gradnaut are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law rules, and by the Federal Arbitration Act for the arbitration provisions below. This does not deprive you of the protection of consumer laws of the place where you live that cannot be waived by agreement.
Arbitration (United States residents). If you live in the United States and we cannot resolve a dispute informally, you and Gradnaut agree that any dispute, claim or controversy arising out of or relating to these Terms or the Services will be resolved by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court. The arbitrator may award the same individual relief as a court. The arbitration will be conducted by video, telephone, written submissions, or in the county where you live. The arbitrator decides all questions about the scope and enforceability of this agreement to arbitrate, except that a court decides whether the class action waiver is enforceable. Judgment on the award may be entered in any court with jurisdiction. We will pay all AAA filing, administrative and arbitrator fees other than your filing fee under the AAA Consumer Fee Schedule, and will reimburse your filing fee on request for claims of US $10,000 or less unless the arbitrator finds the claim frivolous. Each side pays its own lawyers unless the law or the AAA Rules provide otherwise.
Exceptions. Either party may bring an individual claim in small claims court, or seek injunctive or other equitable relief in court to protect intellectual property or prevent unauthorized access to the Services. Nothing in this section prevents either party from seeking public injunctive relief in court where the law requires that it be available there.
Class action and jury waiver. To the fullest extent permitted by law, you and Gradnaut each agree that disputes will be brought only in an individual capacity and not as a plaintiff or class member in any class, consolidated or representative proceeding, and each waive the right to a jury trial. If the class action waiver is found unenforceable for a particular claim, that claim will proceed in court rather than arbitration, and the rest of this section still applies.
Opt-out. You may opt out of this arbitration agreement by emailing legal@gradnaut.com within 30 days of first accepting these Terms, stating your name, account email and that you opt out. A parent or guardian may opt out on a minor's behalf. Opting out does not affect any other part of these Terms.
Mass arbitration. If 25 or more demands with similar claims are filed against Gradnaut by or with the help of the same law firm or group, the AAA Mass Arbitration Supplementary Rules and fee schedule apply, and any statute of limitations is paused for each claimant from the date their demand is filed until their case is resolved.
Courts. For any matter not subject to arbitration, you and Gradnaut agree to the exclusive jurisdiction of the state and federal courts located in Wilmington, Delaware, except that if you live outside the United States you may bring a claim in the courts of your home country where the law requires it.
14. General
Entire agreement. These Terms, the Privacy Policy, and any terms shown at the time of purchase form the entire agreement between you and Gradnaut regarding the Services.
Changes. We may update these Terms. For material changes we will notify you by email or through the Services before they take effect, and we will ask you to accept again where section 13 changes materially. Continued use after the effective date means you accept the updated Terms. Changes to section 13 do not apply to disputes already notified to us.
Copyright complaints. If you believe content on the Services infringes your copyright, send a notice under the Digital Millennium Copyright Act to legal@gradnaut.com with the information that Act requires. We may remove material and terminate repeat infringers.
California residents. Under California Civil Code section 1789.3, you may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Blvd., Suite N 112, Sacramento, CA 95834, or (800) 952-5210.
Other terms. You may not assign these Terms; we may assign them to a successor with notice to you. If any provision is held invalid, the rest remains in effect. Our failure to enforce a provision is not a waiver. We are not responsible for delays or failures caused by events beyond our reasonable control. Except for the parties indemnified in section 12, there are no third-party beneficiaries. You agree to comply with applicable export control and sanctions laws. These Terms are written in English; any translation is for convenience only.
